Services and scope

reframe provides product design services: the research, strategy, and design programs described on this site. Each engagement is defined by a written proposal that states deliverables, timeline, and price. These terms apply to every engagement unless the proposal says otherwise.

Proposals and engagement

A proposal is valid for 30 days from the date it is issued. Work begins once you accept the proposal in writing and we receive any agreed initial payment. Changes in scope are agreed in writing, and can adjust price and timeline.

Payment

Fees, currency, and payment schedule are set in each proposal. Invoices are payable within 15 calendar days unless the proposal states a different term. We can pause work on overdue accounts after written notice.

Intellectual property

Once you have paid in full, you own the final deliverables produced for your engagement. We keep ownership of pre-existing materials, working files, and general methods, and grant you a license to use them as embedded in the deliverables.

Unless the engagement is marked confidential, we can show the work in our portfolio and case studies.

Confidentiality

Each party keeps the other's non-public information confidential and uses it only for the engagement. This obligation survives the end of the engagement. A separate NDA, when signed, prevails over this section.

Limitation of liability

Services are provided with professional care, and no specific business outcome is guaranteed. To the extent permitted by law, total liability for any claim arising from an engagement is limited to the fees paid for that engagement. Neither party is liable for indirect or consequential damages.

Termination

Either party can end an engagement with 15 days' written notice. You pay for work completed up to the effective date. Deliverables you have paid for are released to you, and subscriptions cancel at the end of the current billing period.

Governing law

These terms are governed by the laws of Mexico. Any dispute is submitted to the competent courts of Mexico City, and both parties waive any other jurisdiction to which they may be entitled.
